Part 1: Client Service Terms
Applies when you engage us for Services.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website contractordma.com (the "Site") and the digital marketing services (the "Services") provided by MAV Marketing LLC DBA Contractor Digital Marketing Agency ("we," "us," or "our"), a Nevada limited liability company. By accessing the Site, submitting an inquiry, or engaging us for Services, you ("Client," "you," or "your") agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Site or engage our Services.
2. Description of Services
We provide digital marketing services primarily to businesses in the home services industry, including but not limited to roofing, landscaping, painting, gutters, windows, doors, garage doors, electrical, plumbing, and HVAC companies. Services may include, depending on the scope agreed upon:
Search engine optimization (SEO) and local search marketing
Pay-per-click (PPC) advertising management (Google Ads, Meta/Facebook Ads, Google Local Services Ads)
Website design, development, and hosting
CRM, automation, and lead-management setup through our proprietary and licensed software partners
Reputation and review management
Content creation and social media management
Call tracking, lead routing, and reporting
Specific deliverables, timelines, and pricing for your engagement will be set out in a separate proposal, order form, or service agreement (the "Service Agreement"), which is incorporated into these Terms by reference. In the event of a conflict, the Service
Agreement controls these Terms.
3. Client Responsibilities
To perform the Services, we may require timely cooperation from you, including:
Providing accurate business information, branding assets, licensing details, and service-area data
Granting necessary access to accounts and platforms (e.g., Google Business Profile, domain registrar, hosting, ad accounts, our licensed software sub-account)
Reviewing and approving campaigns, creative, and content within a reasonable time
Ensuring your business holds all licenses, insurance, and permits required to operate and advertise in your industry and service area
Ensuring that any advertising claims, offers, and statements you provide for use in marketing materials are accurate, substantiated, and comply with applicable law
Delays in providing access, approvals, or information may delay Service delivery, and we are not responsible for resulting delays.
4. Fees and Payment
Fees for Services are set out in the applicable Service Agreement or invoice.
Recurring fees (e.g., monthly management or platform fees) are billed in advance unless otherwise stated and are due on the billing date specified.
Ad spend for PPC or paid campaigns is separate from our management fees, unless expressly stated otherwise, and is billed directly by the advertising platform or passed through to you.
Late payments may result in suspension of Services until the account is brought current.
All fees are non-refundable except as expressly stated in your Service Agreement or required by law.
5. Term and Termination
The term of your engagement and any minimum commitment period will be set out in your Service Agreement. Either party may terminate as permitted by the Service Agreement or, absent other terms, with 30 days' written notice.
Upon termination:
You remain responsible for fees incurred through the effective termination date
We will reasonably cooperate in transitioning owned assets (e.g., website files, domain access) upon full payment of outstanding fees
Access to platforms configured under our agency accounts (e.g., certain licensed software sub-account features) may be discontinued unless separately transferred or licensed
We reserve the right to suspend or terminate Services immediately for non-payment, misuse of the Site or Services, or violation of these Terms.
6. Third-Party Platforms
Our Services rely on third-party platforms, including but not limited to third-party infrastructure providers, Google Ads, Google Business Profile, Meta Business Manager, and various hosting and analytics providers. We are not responsible for:
Outages, changes, or discontinuation of any third-party platform
Changes to a platform's policies, algorithms, or advertising rules that affect campaign performance
Account suspensions or restrictions imposed by a third-party platform for reasons outside our control
Your use of such platforms may also be subject to their own terms of service, which you are responsible for reviewing and accepting.
7. Intellectual Property
Our materials: Templates, frameworks, processes, and proprietary methods we use to deliver Services remain our intellectual property and are not transferred to you unless expressly agreed in writing.
Client materials: You retain ownership of your business name, logo, trademarks, and any content or materials you provide to us.
Deliverables: Ownership of custom deliverables created specifically for you (e.g., a website, ad creative) transfers to you upon full payment, unless otherwise stated in your Service Agreement. We may retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.
8. No Guarantee of Results
Digital marketing results — including but not limited to search rankings, lead volume, cost-per-lead, ad performance, and revenue — depend on many factors outside our control, including market conditions, competition, platform algorithm changes, and your business's own responsiveness to leads. We do not guarantee specific rankings, lead counts, sales, or return on investment, and no such guarantee should be inferred from any proposal, case study, or communication unless expressly stated in writing in your Service Agreement.
9. Lead Data and End Consumer Information
Where our Services generate leads or inquiries from your prospective customers ('End Consumers') through websites, forms, ads, or licensed software partners automations we manage on your behalf, you acknowledge and agree that:
You are the data controller for End Consumer information generated through your campaigns, and you are responsible for your own privacy policy, applicable consent language, and compliance with laws governing marketing communications (e.g., TCPA for calls/texts, CAN-SPAM for email)
We act as a service provider processing this data on your behalf and will use it only to deliver the Services
You are responsible for how your business uses, stores, and follows up on End Consumer data we deliver to you
10. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the Services, and to use it only for purposes of the engagement, except as required by law.
11. Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of or related to the Services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) content, offers, or claims you provide for use in marketing materials; (c) your failure to maintain required business licenses, permits, or insurance; or (d) your violation of applicable law in connection with your business operations.
13. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
